Xentris Wireless LLC, supports the advertising and promotion of its products by its domestic Retailers and Distributors, including catalog and Internet retailers, in the United States and Canada, through marketing materials available to authorized resellers of Xentris Wireless LLC, products (“Products”). Xentris Wireless LLC, has adopted a Minimum Advertised Price (MAP) policy in order to preserve individual pricing decisions and maintain a fair business environment for all retailers and customers.
In addition, Xentris Wireless LLC, has established this Reseller Policy regarding Minimum Advertised Price. Effective immediately, all resellers must review and agree to abide by the terms of this Reseller Policy. Failure to do so will result in termination of status as an Authorized Reseller.
1. Xentris Wireless LLC, has set the MAP pricing at no more than twenty-five percent (25%) below the Manufacturer Suggested Retail Price (“MSRP”). MAP pricing is established by Xentris Wireless LLC, for all Products and may be adjusted by Xentris Wireless LLC, at its sole discretion. Attached is the most current version of Xentris Price List, which Xentris may update from time to time.
2. The MAP policy applies to all advertisements of Products in any and all media including, without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, Internet or similar electronic media including websites, email newsletters, email solicitations, television, radio, and public signage. Any price information relating to Products on an Internet website is considered to be advertising for the purposes of this policy. In addition, Products may only be sold to such Internet resellers specifically authorized in writing by Xentris Wireless LLC,. Potential resellers should complete the attached Authorized Reseller Form and submit it to Xentris, through the distributor they intend to purchase Products through, for review and approval.
3. If free or discounted products (whether made by Xentris Wireless LLC,s or another manufacturer) are included in advertising with a Product covered by the MAP policy, the value of such free product or the full amount of the discount will be deducted from the advertised price of the Products for purposes of evaluation compliance with this Policy.
4. This MAP policy only concerns minimum advertised prices and does not relate to actual sales prices of any item. Resellers are solely responsible for determining the actual sales price of any Products they sell.
5. This Policy does not establish maximum advertised prices. Resellers may advertise Products at any price in excess of the MAP established for such Product.
6. This Policy does not in any way limit the ability of any Dealer to advertise that “they have the lowest prices,” that “they will meet or beat any competitor’s price,” that consumers should “call for a price” or phrases of similar import, as long as the price advertised or listed for the products is not less than MAP.
7. Xentris Wireless LLC, reserves the right at any time to modify, suspend, or discontinue the MAP Policy in whole or in part or designate promotional periods during which the terms of the policy change or designate periods of time during which the policy is not applicable. Resellers will be notified of any such changes that are applicable to them.
8. It is Xentris Wireless LLC,’s policy to allow twenty-four hours from receipt of notice of breach of this MAP policy to bring advertising into compliance or Xentris Wireless LLC, will cease supplying Product for a period of no less than 60 days. Xentris Wireless LLC, reserves the right to cease doing business with any found in violation of this policy and will cease doing business with repeat offenders.
9. The terms of this MAP policy are confidential and should not be disclosed to other parties. This MAP policy has been established by Xentris Wireless LLC, to protect the reputation of its name and Products, as well as to ensure that Resellers have the incentive to invest resources into Xentris Wireless LLC, brands.
